Standard Terms & Conditions of Service

1. Scope of Services

  • The Agreement: These terms apply to all services provided by FMCG ALBA to the "Client." Specific deliverables will be detailed in a separate Statement of Work (SOW).

  • Independent Contractor: FMCG ALBA acts as an independent contractor, not an employee or partner of the Client.

2. Fees & Payment Terms

  • Payment Window: All invoices are payable - Payment in Advance (PIA).

  • Dispute Window: Any invoice disputes must be raised in writing within 30 days of receipt. After this period, the invoice is considered accepted, and compensation for late payment may apply if delayed.

3. Client Obligations

  • Information Sharing: The Client must provide all necessary data and product samples required to complete the "analytical stuff" and market research on schedule.

  • Approvals: The Client is responsible for final approval of all marketing materials to ensure compliance with the Code of Advertising Practice (CAP).

4. Intellectual Property (IP)

  • Ownership: Upon full payment, the Client owns the final deliverables (e.g., reports, campaign assets).

  • Pre-existing IP: FMCG ALBA retains ownership of its proprietary analytical tools and methodologies used to generate those reports.

5. Confidentiality & Data Protection

  • Mutual Non-Disclosure: Both parties agree to keep all sensitive business information confidential.

  • GDPR: FMCG ALBA will act as a "Data Processor" for any customer data shared by the Client, who remains the "Data Controller".

6. Termination

  • Notice Period: Either party may terminate the agreement with 60 days' written notice.

  • Immediate Termination: We reserve the right to suspend services immediately if invoices remain unpaid past the statutory 60-day limit.

7. Governing Law

  • This Agreement is governed by the laws of Scotland and subject to the exclusive jurisdiction of the Scottish courts.
